Use of “STAFF CONTROL” Service Terms and Conditions

(for Corporate Clients of COSCOM LLC in Postpaid system)

 

These Terms and Conditions (hereinafter referred to as the “Offer”) are addressed to the Corporate Client of COSCOM LLC (hereinafter referred to as the ‘Client’) and become an agreement between the Corporate Client and COSCOM LLC (hereinafter referred to as the ‘Company’) on the provision of the “Staff Control” service (hereinafter referred to as the “Service”) by the Client's acceptance of this Offer.

Terms and Definitions

The following terms and definitions are applied in the Offer:

  • Subscriber – an individual who is not the owner of a subscriber number (employee, founder, partner or any representative of the Client) who is an actual user of cellular radiotelephone services provided by the Company.
  • Subscriber number – number allocated by the Company to the Subscriber for the period of validity of the communication services agreement.
  • Subscriber device – user (endpoint) device legally owned by the Client/Subscriber, which provides the Subscriber with access to the Company's services by connecting this endpoint device to the Company's communication network. The subscriber device shall comply with the established technical requirements for this type of equipment in accordance with the standards in force in the Republic of Uzbekistan.
  • Accept – full and unconditional acceptance of all the terms and conditions of this Offer, carried out in accordance with the terms and in accordance with the procedure established by this Offer.
  • Service Interfaces – the Company's software tools used by the Client to manage the Service. The interfaces of the Service include the WEB interface of the Service, mobile application.
  • Client – a legal entity of all forms of ownership, an individual engaged in entrepreneurial activity (including family entrepreneurship) without forming a legal entity (hereinafter referred to as individual entrepreneurs), foreign diplomatic and other official missions, representative offices of foreign and international organizations, as well as capable individuals who have reached the age of 18 and have entered into a Postpaid cellular communication services agreement with the Company.
  • Personal cabinet – self-service system, access to which is provided to authorized Clients in order to receive information about the Company's services.
  • Location – displaying the geographical location of the Subscriber's device in the WEB-Interface of the Service.
  • Mobile app – a software tool for iOS/Android that allows collecting and transmitting data on the User's movement via GPS or/and GSM module.
  • Service User – the Client's employee to whom the Client has given the opportunity to use the Service.
  • Staff Control Service (the Service) – a service that allows the Client to determine the location and other parameters of the Objects, as well as the Location of the Subscriber's device owned by the Client/Subscriber (provided that the Client has obtained the latter's consent to determine the location). In particular, the Service allows Clients to monitor, manage and control the movement of their employees via WEB-Interface.
  • WEB-Interface – a software tool placed on the Company's WEB-page, which allows receiving data on the Location and other parameters of the Subscriber's device via the Internet.

1. Service activation

  • 1.1. The Service can be activated by submitting an Application for connection of the Service on the letterhead of the Client's company.
  • 1.2. The Service cannot be connected if the provision of communication services to this Client is suspended in accordance with the procedure stipulated by the current legislation and/or the agreement on provision of communication services.

2. Provision procedure

  • 2.1. As part of the provision of the Service, the Company shall provide the Client with the ability to determine the location of the Subscriber's device connected to the Service, subject to the Subscriber's consent to the location detection.
    • 2.1.1. To obtain consent, the Client shall send an SMS-request to the Subscriber from the WEB-Interface of the Service.
    • 2.1.2. The subscriber receives an SMS message from +99894 9582323 and authorizes the location by sending a reply message with the digit 1. The Subscriber sends digit 2 to disable the detection of location.
    • 2.1.3. The subscriber can refuse to have his/her location determined at any time by sending an SMS with the word STOP.
  • 2.2. The Company shall not be liable for failure to provide the Service in respect of a particular Subscriber Number if the User of the said Subscriber Number has expressed its refusal to determine its location.
  • 2.3. The Service is provided to the Client from the moment of activation of the Service and until the moment of the Client's refusal to provide the Service by the methods specified in Section 3 of this Offer, or until the moment of termination of provision of the Service by the Company, in the manner specified in paragraph 7.4. of this Offer.
  • 2.4. The service is available to all Clients.
  • 2.5. The Service tariffs shall be set by the Company. The tariffs are available on the Company's website www.ucell.uz.
  • 2.6. The Client uses the Service using the WEB-Interface of the Service located at the following address https://kk.ucell.uz.
  • 2.7. Within the framework of provision of the Service for operation with the WEB-Interface of the Software, the Client shall be assigned with individual account data.
  • 2.8. The Client adds the required Subscriber Numbers in the WEB-Interface, or uploads a file from the list. To terminate the provision of the Service with respect to certain Subscriber numbers, it is necessary to delete such numbers from the WEB-Interface of the Service.
  • 2.9. In case of deactivation of Subscriber numbers from the Client's personal account, these numbers will not be available for monitoring and will be updated in the system on the next day.
  • 2.10. Location of Subscriber Devices will be determined using mobile positioning technologies. The accuracy of determining the coordinates of the Subscriber device with SIM-card can be from 100 meters (in the city center), from 1 to 15 km (outside the city), in small settlements – up to several kilometers. Accuracy of determining the Subscriber Device Location depends on various factors: base station settings and their number in the area of determination, height of buildings, features of the surrounding landscape, terrain, etc. When Subscribers use the mobile application, the coordinates may additionally be obtained from the GPS module. Coordinate accuracy when using the app can be from 5 meters.
  • 2.11. The use of the Service by the Client to detect the location of the Subscriber Devices means that the Client has the consent of the users of the Subscriber Devices and Objects to detect it.

3. Service deactivation

  • 3.1. The Client may deactivate the Service by submitting to the Company a Request for deactivation of the Service in the form prescribed by the Company to the Corporate Clients Service Department.
  • 3.2. The Service may be deactivated unilaterally at the Company's initiative if the Client violates the terms and conditions of this Offer.

4. Rights and responsibilities of the Company

  • 4.1. The Company undertakes to:
    • 4.1.1. Provide the Client with access to the WEB-Interface on the website https://kk.ucell.uz, as well as provide support for the WEB-Interface during operation.
    • 4.1.2. Provide uninterrupted operation of WEB-Interface 24/7 during the term of this Offer except for the case specified in clause 4.2.1. of this Offer. In case of WEB-Interface failures, the failure time shall not exceed 2 (Two) hours per day.
    • 4.1.3. Not to transfer the information, which became available in the process of execution of this Offer, without prior consent of the Client to third parties, except for cases provided by the current legislation of the Republic of Uzbekistan.
  • 4.2. The Company has the right to:
    • 4.2.1. Disable the Client's access to the Interface during preventive maintenance. At the same time, the Company undertakes to notify the Client of the preventive maintenance at least 24 (twenty-four) hours prior to its commencement by e-mail specified in the credentials identifying the Client using the Service or by posting a relevant information message on the Company's website. Carry out works related to production necessity (preventive maintenance, repair works, etc.), which may cause temporary deterioration of the quality of the provided Service. The Client agrees that the Company shall not be liable to him if the impairments do not exceed twenty-four hours (24 hours) continuously.
    • 4.2.2. To change unilaterally the tariffs for the Service in accordance with clause 7.4. of this Offer.
    • 4.2.3. To make changes in the terms of the Offer unilaterally in accordance with clause 7.4. of this Offer. The Client independently undertakes to familiarize himself with the current version of the Offer from the moment of its placement in the Internet on the official website at the following address https://ucell.uz/en/corporate/services/staff_control, unless otherwise provided by the new edition of the Offer. Further use of the Service after the changes have been made shall mean the Client's consent to such changes and/or additions.

5. Rights and responsibilities of the Client

  • 5.1. The Client undertakes to:
    • 5.1.1. Make timely and full payment for the Services.
    • 5.1.2. Use the WEB-Interface of the Service to determine the location of the Subscriber Devices only after obtaining prior consent of the users of the Subscriber Devices (Subscribers).
    • 5.1.3. If requested by the Company, provide written consent from users of Subscriber Devices to the Company to determine its location.
    • 5.1.4. To determine the location of the Subscriber's devices only independently and to prevent third parties from making the above requests from the WEB-Interface.
    • 5.1.5. Not to determine the location of the Subscriber Devices, for purposes contrary to the current legislation of the Republic of Uzbekistan.

6. Liability of the Parties

  • 6.1. For non-fulfillment or improper fulfillment of obligations arising from acceptance of this Offer by Clients, the Parties shall be liable under this Offer, the Agreement and the current legislation of the Republic of Uzbekistan.
  • 6.2. The Company reserves the right to unilaterally suspend or terminate the provision of the Service to the Client in case the Client violates the requirements set forth in this Offer.
  • 6.3. The Company shall not be liable to the Client for substandard provision of the Service and/or failure to provide the Service due to delays or interruptions in the operation of technical platforms and communication networks, the occurrence of which is not the fault of the Company.
  • 6.4. The Client shall be responsible for disclosure of location data of the Subscribers who have consented to their location obtained as a result of using the Service.
  • 6.5. The Client is responsible for all actions to determine the location of Subscriber Devices, as well as for all its actions in the WEB-Interface of the Service.
  • 6.6. It is the responsibility of the Client to inform the Client's employees that their location will be determined by the Client and to obtain consent from such employees. The Client undertakes to indemnify the Company for any damages caused by payments that may be levied against the Company due to the Client's violations of the rights of employees related to the detection of their location without their consent. The conditions of this paragraph shall also apply in the case of the location of other third parties.

7. Others

  • 7.1. Execution by the Client of actions on connection of the Service, stipulated in section 1 of this Offer, is considered as full and unconditional agreement of the Client with these terms and conditions (acceptance of the Offer).
  • 7.2. The Service for the Client shall be terminated from the moment of disabling the Service by the Client (Section 3 of this Offer) or from the moment of termination of these terms and conditions by the Company in accordance with the procedure provided for in clause 7.4 of this Offer.
  • 7.3. The terms and conditions of this Offer shall come into effect from the date of their publication on the official website of the Company.
  • 7.4. The Company may amend the terms and conditions of this Offer/Service Fees. Changes come into effect from the moment of posting the current version of the Offer/Price List, at the following address https://ucell.uz/en/corporate/services/staff_control. If after the changes come into force the Client has not sent to the Company within 10 (ten) calendar days a refusal to accept the changed conditions, and continued to use and/or pay for the Service provided by the Company under the new conditions, such changes shall be deemed accepted by the Client.
